Welcome to Wheel. These Terms of Service (“Terms”) govern your access to and use of Wheel’s websites, mobile applications, employer portal, products, features, content, and related services (collectively, the “Service”). The Service is owned and operated by Ascenditure, Ltd. (“Ascenditure,” “Wheel,” “we,” “us,” or “our”).
By creating an account, accessing, downloading, browsing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
These Terms include important provisions regarding dispute resolution, including binding arbitration and a waiver of class actions. Please review them carefully.
1. About Wheel
Wheel is a career and hiring platform designed to help career seekers present themselves beyond a traditional resume and help employers discover candidates through profile information, video introductions, recorded responses, and other career-related materials.
Wheel currently provides a mobile application for career seekers and a desktop employer portal for employers. Career seekers may create profiles, upload or enter career information, record a “Meet Me” video, respond to job-specific questions, apply to opportunities, and communicate with employers. Employers may create accounts, post jobs, review candidates, view candidate profiles and application materials, use AI-assisted ranking and scoring tools, and communicate with candidates.
Wheel is not an employer, staffing agency, recruiter, background screening company, educational institution, or employment agency. Wheel does not make hiring decisions, guarantee interviews, guarantee employment, verify all user-submitted information, or guarantee the suitability, legality, accuracy, or availability of any job, candidate, employer, or opportunity.
2. Eligibility
You must be at least 13 years old to use the Service.
By using the Service, you represent and warrant that:
If you are under the age of majority in your state or jurisdiction, you represent that you have permission from a parent or legal guardian to use the Service. Parents and guardians are responsible for the activities of minors who use the Service.
Employers, recruiters, company representatives, and other organizational users represent that they have authority to create an account, post jobs, review candidates, and act on behalf of the organization they identify.
3. Accounts and Account Security
To access certain features, you may need to create an account. You agree to provide accurate and complete account information and keep that information updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify Wheel promptly if you believe your account has been accessed without authorization or if your credentials have been lost, stolen, or compromised.
Wheel may suspend, limit, or terminate your account if we believe your account has been used in violation of these Terms, applicable law, or the integrity of the Service.
4. Career Seeker Accounts
Career seekers may use Wheel to create a profile, complete onboarding, record a Meet Me video, provide employment and education information, identify skills and preferences, complete assessments, apply to jobs, answer employer questions, and communicate with employers.
You are solely responsible for the information and materials you provide, including your profile information, resume or resume-derived information, education history, work experience, skills, video content, messages, application responses, and any other materials you submit or make available through the Service.
You agree that you will not provide information that is false, misleading, unlawful, discriminatory, defamatory, infringing, harassing, abusive, sexually explicit, threatening, or otherwise inappropriate for a professional career platform.
Wheel may use automated and AI-assisted tools to help organize, display, analyze, and evaluate career seeker information. These tools are intended to support the platform experience and assist employers, but they are not guarantees of accuracy, completeness, job fit, employability, or hiring outcomes.
5. Employer Accounts
Employers may use the Service to create an employer account, post jobs, review candidates, view candidate profile materials, use AI-assisted ranking and scoring features, and communicate with candidates.
By creating an employer account, you represent that:
At this time, Wheel may allow employers to create accounts without advance manual approval. However, Wheel reserves the right to review, spot check, verify, suspend, limit, or remove employer accounts, job postings, messages, or activity at any time, with or without notice, if we believe such activity may violate these Terms, applicable law, platform standards, candidate safety, or the integrity of the Service.
Wheel may introduce employer verification, approval, payment, access restrictions, or other account requirements in the future.
6. Job Postings
Employers are solely responsible for all job postings and related content they submit through the Service.
Job postings must be accurate, lawful, professional, and clearly related to a legitimate career opportunity. Employers agree not to post jobs that:
Wheel may review, reject, edit, disable, or remove job postings at any time. Wheel is not obligated to publish or continue publishing any job posting.
7. Applications and Candidate Review
When a career seeker applies to a job through Wheel, the employer may receive access to the career seeker’s profile information, Meet Me video, application responses, recorded video answers, assessment-related information, AI-assisted ranking or scoring outputs, messages, and other application materials, depending on the features available at the time.
Employers are solely responsible for reviewing candidates, verifying candidate information, conducting interviews, making hiring decisions, complying with applicable employment laws, and ensuring that their hiring practices are fair, lawful, and non-discriminatory.
Wheel does not verify all candidate information and does not guarantee that any candidate is qualified, available, truthful, authorized to work, or suitable for a role. Employers should conduct their own review, verification, reference checks, background checks, credential checks, work authorization checks, and other diligence as appropriate and legally permitted.
Career seekers are solely responsible for deciding whether to apply for, accept, reject, continue, or withdraw from any opportunity. Wheel does not guarantee that any job posting is accurate, active, available, safe, suitable, lawful, or appropriate.
8. AI-Assisted Features
Wheel may use artificial intelligence, machine learning, automated analysis, algorithms, or similar technologies to operate and improve the Service. These features may include, but are not limited to:
AI-assisted rankings, scores, summaries, labels, tags, insights, or recommendations are informational tools only. They are not guarantees, final determinations, employment recommendations, legal advice, psychological evaluations, background checks, credit reports, or employment decisions.
Employers are solely responsible for making independent hiring decisions and must not rely exclusively on AI-assisted outputs. Employers must use their own judgment, comply with applicable laws, avoid discriminatory practices, and provide any legally required notices, accommodations, disclosures, or explanations.
Career seekers acknowledge that AI-assisted tools may analyze their profile information, videos, recorded responses, application materials, interactions, and other submitted content in order to operate and improve the Service.
AI-assisted outputs may be incomplete, inaccurate, biased, outdated, or inconsistent. Wheel does not guarantee the accuracy, fairness, completeness, reliability, legality, or usefulness of any AI-assisted output.
9. Future Paid Features
Wheel is currently offered free of charge. In the future, Wheel may introduce paid employer features, including pay-as-you-go access to view full candidate profiles, unlock additional candidate information, contact candidates, review applications, post jobs, or use other employer features.
If paid features are introduced, additional payment terms may apply. Those terms may address pricing, payment methods, credits, refunds, taxes, billing disputes, expiration of access, account limits, and other commercial terms. If there is a conflict between these Terms and any future written payment terms, the more specific payment terms will govern the paid feature.
Wheel may change, add, or remove free or paid features at any time.
10. Communications
By using the Service, you may receive communications from Wheel, employers, career seekers, or other users. These communications may include account messages, application updates, employer messages, interview-related communications, product updates, security notices, service announcements, and other transactional or informational messages.
You agree that Wheel may send you communications by email, in-app message, push notification, SMS, or other available methods, subject to applicable law and your communication preferences.
Users must communicate professionally and may not use the Service to harass, threaten, spam, deceive, discriminate, solicit unrelated services, collect personal information for unrelated purposes, or engage in unlawful conduct.
11. User Content
“User Content” means any content, information, materials, data, videos, recordings, messages, resumes, profile information, job postings, employer materials, application responses, images, documents, text, feedback, or other materials that users submit, upload, record, post, transmit, or otherwise make available through the Service.
You retain ownership of your User Content, subject to the license granted below.
By submitting User Content to Wheel, you grant Wheel and its service providers a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, perform, process, analyze, adapt, modify, distribute, transmit, and otherwise use your User Content for the purposes of:
You represent and warrant that you have all rights, permissions, and authority necessary to submit your User Content and grant the license described above.
Wheel does not claim ownership of your User Content. However, you acknowledge that Wheel may create, develop, or generate aggregated, anonymized, de-identified, statistical, analytical, technical, or derivative information based on use of the Service, and Wheel may use such information for business, research, product improvement, AI development, analytics, security, and other lawful purposes.
12. Video Content
Wheel may allow career seekers to record and upload videos, including Meet Me videos and job-specific application responses. Video content may be shared with employers as part of a profile or application.
By submitting video content, you acknowledge and agree that:
Employers may not download, copy, record, scrape, disclose, sell, share, repost, or use candidate videos outside the Service except as reasonably necessary for legitimate hiring review and in compliance with applicable law.
13. Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, disclose, and protect personal information.
By using the Service, you acknowledge that Wheel may collect and use personal information as described in the Privacy Policy, including information related to profiles, applications, videos, assessments, employer activity, communications, device data, analytics, and AI-assisted features.
Employers are responsible for complying with all applicable privacy, employment, and data protection laws when accessing or using candidate information.
14. Employer Use of Candidate Data
Employers may use candidate information obtained through Wheel only for legitimate recruiting, hiring, interview, evaluation, and employment-related purposes connected to opportunities on Wheel.
Employers may not:
Wheel may limit or revoke employer access to candidate information if we believe an employer has misused candidate data or violated these Terms.
15. Assessments, Profile Insights, and Unique Advantage
Wheel may offer assessments, profile insights, personality-related prompts, strengths indicators, “Unique Advantage” features, tags, labels, summaries, or similar tools to help career seekers present themselves and help employers understand candidate profiles.
These features are not medical, psychological, clinical, educational, or employment tests. They are not intended to diagnose, measure, certify, or guarantee any trait, ability, qualification, job performance, culture fit, or employment outcome.
Career seekers should not treat assessment outputs or profile insights as definitive statements about their identity, abilities, employability, or professional potential. Employers should not treat such outputs as determinative hiring criteria or use them in a discriminatory or unlawful manner.
16. Acceptable Use
You agree not to use the Service to:
Wheel may investigate and take action against any conduct that we believe violates these Terms.
17. Platform Monitoring and Moderation
Wheel may, but is not required to, monitor, review, moderate, remove, edit, restrict, or disable access to accounts, content, messages, job postings, profiles, applications, or other activity.
We may take action if we believe content or activity:
1. Violates these Terms;
2. Violates applicable law;
3. Is fraudulent, misleading, harmful, abusive, discriminatory, or unsafe;
4. Compromises candidate or employer trust;
5. Creates legal, operational, reputational, or security risk;
6. Is inconsistent with the purpose or integrity of Wheel.
Wheel is not responsible for user content or conduct, and our decision to monitor or moderate some content does not create an obligation to monitor or moderate all content.
18. Intellectual Property
Wheel, Ascenditure, and their licensors own all rights, title, and interest in and to the Service, including all software, designs, interfaces, graphics, logos, trademarks, service marks, text, content, features, workflows, databases, algorithms, AI systems, models, scoring systems, ranking systems, and other technology, except for User Content.
Subject to your compliance with these Terms, Wheel grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for its intended purpose.
You may not copy, modify, distribute, sell, lease, sublicense, create derivative works from, publicly display, publicly perform, reverse engineer, or otherwise exploit any part of the Service except as expressly permitted by these Terms or authorized in writing by Wheel.
All Wheel names, logos, marks, and branding are trademarks or service marks of Ascenditure or its licensors. You may not use them without prior written permission.
19. Feedback
If you provide Wheel with ideas, suggestions, comments, feedback, bug reports, feature requests, or other recommendations, you grant Wheel a perpetual, irrevocable, worldwide, royalty-free license to use, modify, commercialize, and incorporate that feedback without restriction or compensation to you.
20. Third-Party Services and Links
The Service may contain links to third-party websites, services, tools, job pages, payment processors, analytics providers, communications providers, or other third-party resources.
Wheel does not control and is not responsible for third-party services, content, policies, practices, availability, security, accuracy, or performance. Your use of third-party services is governed by the terms and policies of those third parties.
Wheel is not responsible for any loss, harm, or dispute arising from your use of third-party services.
21. App Store Terms
If you download the Wheel mobile application through the Apple App Store, Google Play, or another app marketplace, your use of the mobile application may also be subject to the applicable marketplace’s terms, conditions, and policies.
You acknowledge that the app marketplace provider is not responsible for providing support, maintenance, claims, or warranty obligations related to the Service, except as required by applicable law or the marketplace’s own terms.
22. Beta Features and Changes to the Service
Wheel is an evolving platform. We may add, remove, suspend, modify, test, limit, or discontinue features at any time, including profile features, employer access, candidate visibility, AI-assisted tools, messaging, applications, job postings, ranking, scoring, pricing, and account functionality.
Some features may be experimental, in beta, or available only to certain users. Beta or experimental features may contain errors, change without notice, or be discontinued.
Wheel does not guarantee that any feature will remain available, free, unchanged, or compatible with prior versions of the Service.
23. No Employment or Hiring Guarantee
Wheel does not guarantee that:
All users are responsible for their own decisions and diligence when interacting through the Service.
24. Background Checks, Screening, and Verification
Wheel does not provide background checks, reference checks, identity verification, credential verification, work authorization verification, criminal history screening, credit checks, drug testing, employment eligibility verification, or other formal screening services unless expressly stated in a separate written agreement.
Employers are solely responsible for conducting any legally permitted screening or verification they determine is appropriate. Career seekers are responsible for providing accurate information and complying with applicable hiring requirements.
25. Compliance with Employment Laws
Employers are solely responsible for compliance with all applicable employment, labor, wage and hour, tax, benefits, immigration, anti-discrimination, accessibility, recordkeeping, background check, privacy, and hiring laws.
Employers agree not to use Wheel in a way that discriminates against or unlawfully disadvantages any person based on race, color, religion, sex, gender, gender identity, gender expression, sexual orientation, pregnancy, national origin, age, disability, veteran status, genetic information, or any other characteristic protected by applicable law.
Wheel does not provide legal advice regarding hiring, employment, compensation, classification, interviewing, accommodations, or compliance.
26. Suspension and Termination
You may stop using the Service at any time. You may also request account deletion as described in our Privacy Policy or through available account settings.
Wheel may suspend, restrict, or terminate your access to the Service at any time, with or without notice, if we believe:
Upon termination, your right to access and use the Service will stop immediately. Certain provisions of these Terms will survive termination, including provisions related to user content licenses, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and any obligations that by their nature should survive.
27. Disclaimers
The service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise.
To the maximum extent permitted by law, wheel disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and error-free operation.
Wheel does not warrant that the service will be uninterrupted, secure, error-free, accurate, complete, current, or free of viruses or other harmful components.
Wheel does not warrant or guarantee any job, candidate, employer, message, profile, application, video, assessment, ai output, ranking, score, hiring decision, interview, offer, employment relationship, or career outcome.
You use the service at your own risk.
28. Limitation of Liability
To the maximum extent permitted by law, wheel, ascenditure, and their officers, directors, employees, contractors, agents, affiliates, service providers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost data, loss of goodwill, business interruption, employment loss, hiring loss, or other intangible losses, arising out of or related to your use of or inability to use the service.
To the maximum extent permitted by law, wheel’s total liability for any claim arising out of or related to these terms or the service will not exceed the greater of: (a) the amount you paid to wheel for the service in the six months before the event giving rise to the claim; or (b) one hundred u.s. dollars ($100).
The limitations in this section apply to all theories of liability, including contract, tort, negligence, strict liability, warranty, statute, or otherwise, even if wheel has been advised of the possibility of such damages.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
29. Indemnification
You agree to defend, indemnify, and hold harmless Wheel, Ascenditure, and their officers, directors, employees, contractors, agents, affiliates, service providers, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, and fees, including reasonable attorneys’ fees, arising out of or related to:
Wheel reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.
30. Dispute Resolution; Arbitration Agreement
Please read this section carefully. It affects your legal rights.
You and Wheel agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, your account, your use of the Service, or your relationship with Wheel will be resolved through final and binding arbitration, except as described below.
The arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable rules. The arbitration will take place in Nevada, unless the parties agree to another location or remote proceeding.
The arbitrator will have authority to resolve disputes regarding the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this arbitration agreement is void or voidable.
The arbitrator may award the same damages and relief on an individual basis that a court could award, subject to the limitations in these Terms. The arbitrator’s award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
31. Exceptions to Arbitration
The following disputes are not required to be arbitrated:
Either party may seek temporary or preliminary injunctive relief in court to protect rights or prevent harm while arbitration is pending.
32. Class Action Waiver
You and wheel agree that each may bring claims against the other only on an individual basis and not as a plaintiff, class member, or representative in any class, collective, consolidated, private attorney general, or representative action.
The arbitrator may not consolidate more than one person’s claims and may not preside over any class, collective, consolidated, private attorney general, or representative proceeding.
If this class action waiver is found unenforceable with respect to a particular claim, then that claim must proceed in court and not in arbitration, unless otherwise agreed by the parties.
33. Governing Law
These Terms and any dispute arising out of or related to these Terms or the Service will be governed by the laws of the State of Nevada, without regard to conflict of law principles.
Subject to the arbitration agreement above, any court proceeding that is not subject to arbitration will be brought in the state or federal courts located in Nevada, and you consent to the personal jurisdiction and venue of those courts.
34. Changes to These Terms
Wheel may update these Terms from time to time. If we make material changes, we may provide notice through the Service, by email, or by updating the effective date above.
Your continued use of the Service after updated Terms become effective means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
35. Assignment
You may not assign or transfer these Terms or your rights or obligations under these Terms without Wheel’s prior written consent.
Wheel may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, or by operation of law.
36. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid, illegal, or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable, if possible.
37. No Waiver
Wheel’s failure to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision in the future.
38. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms that apply to specific features, constitute the entire agreement between you and Wheel regarding the Service and supersede any prior or contemporaneous agreements regarding the Service.
